1. Introduction

Welcome to CloudCeipt (“we,” “our,” “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, web app, WhatsApp AI Receipt Assistant, and related services (collectively, the “Services”). By using the Services, you agree to be bound by these Terms.

2. Eligibility

  • You must be at least 18 years old to use the Services.
  • By creating an account, you confirm your information is accurate and that you have authority to bind any business you register.

3. Accounts & Security

  • You are responsible for safeguarding your login credentials and for all activity under your account.
  • Notify support@cloudceipt.com immediately if you suspect unauthorized access.
  • You may not share your account unless expressly authorized in writing by CloudCeipt.

4. Acceptable Use

You agree not to misuse the Services. Prohibited conduct includes (without limitation):

  • Uploading content that is unlawful, harmful, defamatory, obscene, or infringing;
  • Attempting to disrupt, circumvent, reverse engineer, or gain unauthorized access to any part of the Services;
  • Using the Services to create a competing dataset, product, or model without permission;
  • Automating use in a way that degrades Service performance or violates our rate limits.

5. WhatsApp & File Uploads

  • When you submit receipts or other documents (including via WhatsApp), you grant CloudCeipt a non-exclusive license to process, store, analyze, and display the content solely to deliver the Services to you.
  • You must own or have legal rights to all content you upload.
  • We may remove content that violates these Terms or applicable law.

6. Subscription Plans, Trials & Payment

  • Free trials, plan features, limits, and pricing are described on our Pricing page.
  • If you upgrade to a paid plan, you authorize CloudCeipt (or our payment processor, e.g., PayFast) to charge your selected payment method and to store necessary billing details.
  • We may adjust plan features or pricing with prior notice. Changes take effect on your next billing cycle unless stated otherwise.
  • Taxes, where applicable, are your responsibility.

7. Intellectual Property

  • The Services, including software, designs, logos, and content, are owned by CloudCeipt or its licensors and are protected by law.
  • Except as expressly permitted, you may not copy, distribute, modify, or create derivative works based on our IP without written consent.

8. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information (including POPIA/GDPR considerations).

9. Service Availability & Changes

  • We aim for high availability but do not guarantee uninterrupted access.
  • We may suspend, limit, or discontinue parts of the Services for maintenance, security, legal, or operational reasons.

10. Disclaimer & Limitation of Liability

  • The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied.
  • To the fullest extent permitted by law, CloudCeipt is not liable for indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, data, or business interruption.
  • Our aggregate liability to you shall not exceed the fees you paid to CloudCeipt in the three (3) months preceding the event giving rise to liability (or R0 if you are on a free plan).

11. Indemnification

You agree to indemnify and hold harmless CloudCeipt, its officers, employees, and partners from and against any claims, damages, liabilities, and expenses arising from your breach of these Terms or misuse of the Services.

12. Governing Law & Venue

These Terms are governed by the laws of the Republic of South Africa. You consent to the exclusive jurisdiction of the courts of South Africa for disputes arising out of or relating to these Terms or the Services.

13. Changes to These Terms

We may update these Terms periodically. If changes are material, we will provide reasonable notice (e.g., email or in-app) before they take effect. Continued use after the effective date constitutes acceptance.
